1. Acceptance of Terms
By accessing and using Staff Flow ("Service"), you accept and agree to be bound by the terms and provision of this agreement. Additionally, when using Staff Flow's services, you shall be subject to any posted guidelines or rules applicable to such services.
2. Description of Service
Staff Flow provides users with access to a rich collection of HR management tools and resources, including:
- Employee database management
- Payroll processing
- Leave and attendance tracking
- Performance management
- Document storage
- Self-service employee portal
3. User Accounts
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Payment Terms
Certain features of the Service are provided for a fee. You agree to:
- Pay all fees associated with your subscription
- Provide valid payment information
- Authorize us to charge your payment method
- Pay applicable taxes where required
Subscriptions automatically renew unless canceled at least 30 days before the end of the current billing period.
5. Acceptable Use
You agree NOT to use the Service to:
- Upload or transmit viruses, malware, or other harmful code
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Attempt to gain unauthorized access to the Service
- Interfere with the proper operation of the Service
- Collect or store personal data about other users without consent
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Staff Flow and its licensors. The Service is protected by copyright, trademark, and other laws. You may not modify, reproduce, distribute, or create derivative works without our express written consent.
7. Data Ownership
You retain ownership of all data you upload to the Service ("Customer Data"). You grant Staff Flow a license to use, store, and process Customer Data solely for the purpose of providing the Service. Upon termination, we will make your data available for export for a period of 30 days.
8. Limitation of Liability
In no event shall Staff Flow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.
9. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
10. Indemnification
You agree to defend, indemnify, and hold harmless Staff Flow and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, attorney's fees, resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of Belize, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
